CCP Clears Acquisition of Al-Haj Automotive by Bestway Automotive

The Competition Commission of Pakistan (CCP) has approved the proposed acquisition of Al-Haj Automotive (Private) Limited by Bestway Automotive (Private) Limited, following a Phase-I competition assessment conducted under the Competition Act, 2010.

According to the official press release, Bestway Automotive filed a pre-merger application on January 26, 2026, seeking approval for the transaction under Section 11 of the Competition Act, 2010. The acquisition stems from an Asset Purchase Agreement executed on December 22, 2025, between the two parties.

Bestway Automotive (Private) Limited is a wholly owned subsidiary of Bestway Cement Limited, a company listed on the Pakistan Stock Exchange. The company plans to assemble, market, and sell automobiles in Pakistan.

Al-Haj Automotive (Private) Limited is engaged in the assembly, marketing, and sale of vehicles, including sedans and SUVs, along with related spare parts.

The Commission’s analysis concluded that both the acquiring and target entities currently have no production or market share in the defined relevant market. As a result, the transaction is not expected to increase market concentration or alter the competitive structure of the automobile sector.

CCP further determined that the proposed acquisition does not create or strengthen a dominant position, nor is it likely to substantially lessen competition or impede market entry. Therefore, the Commission authorized the transaction in accordance with applicable legal provisions.

The approval paves the way for Bestway Automotive’s entry into Pakistan’s automobile industry. The move reflects continued investor interest in the sector and is expected to enhance competition, promote efficiency, and potentially strengthen local assembly capabilities, subject to operational developments and market conditions.

The CCP reaffirmed its commitment to facilitating pro-competitive investments that contribute to economic growth while ensuring fair market practices.
