Ufone has officially completed its merger with Telenor Pakistan, ending months of waiting after the deal faced delays despite receiving key approvals. Sources confirmed to TechJuice that the final straw that was stuck in a legal hurdle has been sorted today in the favor of Ufone, making tomorrow the first official day of combined operations under Ufone’s leadership.
Although the merger had already received regulatory approvals, several operational and legal processes delayed its completion. Those issues have now been resolved, allowing the transaction to move into its operational phase.
Decision That Confirmed Ufone-Telenor Merger
In a landmark development for Pakistan’s telecom sector, the Islamabad High Court (IHC) has formally approved the merger of Telenor Pakistan (Private) Limited into Pak Telecom Mobile Limited (PTML), clearing the final legal hurdle for the consolidation of the country’s mobile operators.
Justice Khadim Hussain Soomro sanctioned the Scheme of Amalgamation under Sections 279 to 283 and 285(8) of the Companies Act, 2017, ruling that the merger complies with all legal requirements, is fair to shareholders and creditors, and is not contrary to public interest.
The court observed that all secured creditors of both companies unanimously approved the merger after furnishing their No Objection Certificates (NOCs). It also noted that the International Finance Corporation (IFC) consortium separately submitted its NOC before the Securities and Exchange Commission of Pakistan (SECP).
According to the order, the rights, securities and contractual claims of creditors will remain fully protected following the amalgamation, and nothing on record suggested that the merger would prejudice any stakeholder.
The court further noted that shareholders of both PTML and Telenor Pakistan also unanimously endorsed the proposed scheme during separate meetings held on June 5, 2026, with all procedural requirements, including notices and public advertisements, having been duly complied with.
While explaining the scope of its jurisdiction, the court held that it was not required to substitute its commercial judgment for that of shareholders or creditors. Instead, its role was limited to ensuring that statutory procedures had been followed, the arrangement was fair and reasonable, and there was no fraud, illegality or violation of public policy.
The SECP reviewed the amalgamation scheme and raised no objections, leaving the matter to the court. No objections were received from shareholders or the public. As a result, the court approved the merger, directing that all assets and liabilities of Telenor Pakistan be transferred to Pak Telecom Mobile Limited, effectively dissolving Telenor Pakistan without winding up. The petitioners must file a certified copy of the order with the Registrar of Companies and SECP to complete the necessary legal and regulatory formalities.
Consequently, the court sanctioned the amalgamation, directing that the entire undertaking, assets, properties, rights, liabilities and obligations of Telenor Pakistan shall stand transferred to and vested in Pak Telecom Mobile Limited without any further act or deed. Telenor Pakistan will cease to exist as a separate legal entity and shall stand dissolved without undergoing the process of winding up.
The petitioners have been directed to file a certified copy of the order with the Registrar of Companies, SECP, within the prescribed period to enable completion of all consequential legal, regulatory and fiscal formalities required for implementation of the merger.
The decision marks the legal completion of one of the biggest consolidations in Pakistan’s telecom industry, following PTCL Group’s acquisition of Telenor Pakistan and paving the way for operational integration under PTML.
How the merger reached this stage
The merger process began in December 2023, when Pakistan Telecommunication Company Limited (PTCL) signed an agreement to acquire 100% of Telenor Pakistan from Telenor Group. The acquisition formed part of Telenor’s decision to exit the Pakistani telecom market, while PTCL sought to strengthen its mobile business through Ufone.
Over the following months, the transaction secured approvals from key regulators. The acquisition was officially completed on December 31, 2025, after PTCL finalized the purchase of Telenor Pakistan. Later, in March 2026, the Pakistan Telecommunication Authority (PTA) approved the amalgamation of Pak Telecom Mobile Limited (Ufone) and Telenor Pakistan, subject to regulatory conditions. However, both operators continued to function separately while the remaining legal, technical, and operational requirements were completed. With today’s confirmation, that transition has officially come to an end.
The merger brings together two of Pakistan’s major mobile network operators under a single organization. Industry experts believe the combined company will have a stronger position in Pakistan’s competitive telecom market.
Customers are not expected to experience any immediate disruption to their mobile services. However, the company is expected to integrate its networks, systems, and operations over the coming months. More details about customer migration, branding, and future service plans are likely to be announced in phases.
People familiar with the development say internal teams have been preparing for the transition for several months. With the merger now officially complete, the company’s focus will shift toward network integration, service improvements, and combining business operations.
