The Pakistan Telecommunication Authority has approved the proposed amalgamation of Pak Telecom Mobile Limited and Telenor Pakistan, clearing the first major regulatory hurdle in what would become the largest telecom consolidation in Pakistan’s history.
PTCL disclosed the approval in a notice filed with the Pakistan Stock Exchange on Tuesday. The company said the approval is conditional, requiring PTCL to submit an unconditional acceptance of PTA’s terms within 15 days. The merger will be implemented through a scheme of arrangement in accordance with applicable laws.
Both PTML, which operates the Ufone brand, and Telenor Pakistan are wholly owned subsidiaries of Pakistan Telecommunication Company Limited. PTCL acquired Telenor Pakistan’s operations after its Norwegian parent company, Telenor ASA, exited the Pakistani market. Combining the two mobile operators under a single entity would create a significantly larger competitor in a market currently dominated by Jazz (Mobilink) and Zong.
PTCL had formally submitted the merger application to PTA in January 2026. With PTA’s conditional approval now secured, the transaction moves to the Securities and Exchange Commission of Pakistan for regulatory clearance. Following SECP approval, PTCL will need to seek final endorsement of the scheme of arrangement from the courts, a mandatory legal requirement to complete the merger.
The consolidation is expected to yield operational efficiencies by combining network infrastructure, spectrum holdings, and subscriber bases.
PTCL said any further developments will be communicated to the stock exchange in accordance with applicable laws and regulations.
